Biography
Nicolai Julsvoll is a partner in Thommessen’s M&A and Corporate group in Oslo and is one of Norway’s leading advisers within private equity. He is a regular adviser to several of the largest Nordic private equity firms, and also assists a number of international PE funds, investment banks, listed companies and private companies in strategic transactions. Nicolai also advises issuers and managers in connection with equity offerings, listings and public takeover bids.
Nicolai has more than 110 registered transactions in Mergermarket and is ranked as a Level 1 lawyer in Mergermarket’s global M&A league table — a level that places him among the most active transactional lawyers in the Nordics. He is part of Thommessen’s M&A practice, which is ranked Tier 1 / no. 1 in all national and international rankings, including Chambers & Partners, Legal 500 and IFLR1000, and which has had the largest transaction volume in the Norwegian market over the past decades.
Nicolai is known for a commercial, solution-oriented and hands-on approach, with a focus on identifying the key commercial issues early and driving transactions efficiently through to signing and completion.

M&A and Corporate. Strategic acquisitions and disposals, carve-outs, joint ventures and restructurings for industrial players and financial investors in Norway and internationally.
Private Equity and Growth Equity. A particular focus area in Nicolai’s practice. He is a regular adviser to several of the largest Nordic PE firms — including EQT, Altor and Norvestor — and also assists international funds such as One Equity Partners and Forbion throughout the investment cycle, from platform investments and add-ons to exits.
Equity Capital Markets. Listings, including IPOs and Euronext Growth listings, public takeover offers, take-privates, private placements and rights issues for issuers and managers.

Public M&A experience includes, among other matters, the restructuring of Norwegian Air Shuttle, the acquisitions of Data Respons, Oslo Børs and Saferoad ASA, and Royal Dutch Shell’s takeover of BG Group.
